Position: Specialist I Contract Life Management

Position Location: Salisbury, NC; Quincy, MA; Scarborough, ME; Carlisle, PA; Landover, MD

Position Summary:

This role supports attorneys and Retail Business Services, LLC and its US affiliates (collectively the "US Companies") business partners and managers. This position works closely with attorneys and independently in connection with performing legal services to US Companies in connection with contract drafting and negotiation, and administration of the contract lifecycle management process and system. This position also serves as Business & Regulatory legal department's system administrator for dept. specific applications and generates requisite periodic and ad hoc reporting for various depts. (NFR, IT, Sourcing, Finance, internal audit, etc.). This position also provides training to ensure US companies compliance with contract lifecycle management policies and bills of authority. This position will have regular contact with management of various levels within the US Companies. Discretion and confidentiality are essential based on exposure to sensitive matters presenting legal, public relations and associate relations risks. Provide support to other legal department practice areas and other duties as may be assigned.

Principle Duties and Responsibilities:

  • Review, draft and negotiate legal terms of contracts for all US Companies for all business areas except for employment, labor and real estate. Draft, review and negotiate contract (i.e. supply and services agreement, NDAs)
  • Interact directly with US Companies 'business clients during review and negotiation
  • Coordinate with various user groups around company
  • Generate periodic ad hoc reports
  • Effectuates contract lifecycle management system required application fixes or updates
  • Develops and updates all training material for the dept. specific applications
  • Provides training for all dept. members and other users of dept. specific applicable.
  • Conducts data quality analysis of dept. specific applications.
  • As needed, coordinate with outside counsel and business managers in addition to in-house attorneys and other paralegals.
  • Performs research based on general parameters and develops recommendations based on research
  • Works on large, complex, sometimes unique legal matters
  • Knowledge of US Companies' operations/activities that may be impacted by business and regulatory law and the governing agencies that provide oversight.
  • Has the authority to work within the existing framework of the bill of authority and contract management lifecycle policies.
  • Will help determine whether policies and procedures comply with applicable laws and regulations. Develop training materials and administer training.
  • Negotiates with objective of ensuring balance business and legal terms. Uses independent judgment to determine sources and strategy for conducting legal and factual research on an assigned topic or problem.
  • Interaction is with US Companies' management within each Brand and Functional Areas business units with RBS, directly with vendors during negotiation, outside counsel and government state agency. This position performs many legal duties and works on the entire range of legal issues at the direction of attorneys, but may not be licensed and may not practice law, and may not be permitted to give legal advice.

Requirements Basic Requirements:

  • 5-8 years relevant experience
  • Maintain an awareness of legal implications and exposures associated with decisions at business level. This position must employ specific experience, professional judgment and problem solving skills to advise on policy, procedures and new initiatives.
